This Independent Contractor Agreement ("Agreement") is entered into as of __________ ("Effective Date") between ________________________ ("Contractor") and ________________________ ("Client"), collectively referred to as the "Parties." 4. Confidentiality
The Contractor acknowledges that during the engagement they will have access to and become acquainted with various trade secrets, inventions, innovations, processes, information, records, and specifications owned or licensed by the Client and/or used by the Client in connection with the operation of its business including, without limitation, the Client's business and product processes, methods, customer lists, accounts, and procedures. The Contractor agrees to keep all such confidential materials confidential during and after the term of this Agreement.
5. Independent Contractor Status
The Contractor is engaged as an independent contractor. Nothing contained in this Agreement shall be deemed or interpreted to constitute the Contractor as a partner, agent, or employee of the Client, nor shall either party have any authority to bind the other.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to its conflict of laws principles.
7. Entire Agreement
This document and any attachments or exhibits referenced herein constitute the entire agreement between the Parties and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the Parties.
8. Amendment
No amendment, modification, or supplement of any provisions of this Agreement will be valid or effective unless made in writing and signed by both Parties.
